1. Agreement Overview

This Agreement is between you (the “Client,” “You,” or “Your”) and Free Website Bros (“Company,” “We,” “Us,” or “Our”). It governs our provision of website development services to you. By using our services, you agree to these terms.

2. Term of Agreement

This Agreement begins on the Effective Date and continues until the completion of the services or until terminated by either party as described below. Upon termination, we will stop providing any services.

3. Complimentary Services

Our website development services are provided free of charge at our discretion. We do not charge for our services unless agreed upon otherwise via email. To help cover our costs, we may ask you to sign up for web hosting through our preferred provider’s affiliate link, which may earn us a commission. You incur no additional cost by using our affiliate link.

4. Intellectual Property

All intellectual property related to the website we create for you will be owned solely by you. We retain no ownership rights to the website, or any related intellectual property developed under this Agreement.

5. Data and Financial Security

You are responsible for the protection of your own data, including website and hosting account information. We are not liable for any damages or losses related to your data or financial information.

6. Limitation of Liability

Our liability is limited to $250 for any claims arising from our services. We are not liable for indirect, incidental, or consequential damages, including loss of profit.

7. Marketing Materials

You grant us a non-exclusive license to use screenshots and information about your website for marketing purposes. If you prefer not to have your website featured, please notify us at hello@freewebsitebros.com.

8. Confidentiality

You agree not to use, disclose, or provide access to any confidential information related to our services, including proprietary information and trade secrets, except as authorized in writing.

9. Warranty

Except as expressly stated, we do not make any warranties regarding our services, including implied warranties of merchantability or fitness for a particular purpose.

10. Indemnification

You agree to indemnify and hold us harmless from any claims or damages arising from your breach of this Agreement or any representations made.

11. Notices

All notices under this Agreement should be sent via email to hello@freewebsitebros.com for the Company and to the email address you have provided. Notices are considered given when sent.

12. Severable Provisions

If any term of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in effect.

13. Modifications and Assignment

We may modify this Agreement with written notice. If you do not agree to the changes, you may terminate the Agreement within 30 days. We may assign this Agreement in connection with a merger or sale of assets.

14. Excusable Delays

Neither party is liable for failure or delay in performance due to causes beyond their control, such as acts of God or war.

15. Survival

Terms that imply continuation, such as confidentiality and indemnification, will remain in effect after termination of this Agreement.

16. Prior Understandings

This Agreement constitutes the entire agreement between us regarding its subject matter and supersedes all prior agreements.

17. Waiver

A waiver of any default under this Agreement must be in writing and does not waive any other defaults. Failure to enforce provisions does not waive our right to enforce them in the future.

18. Jurisdiction and Venue

This Agreement is governed by the laws of the State of Delaware. Any disputes will be resolved in Kent County, Delaware.

19. Electronic Signatures

Electronic signatures are deemed as valid as original signatures. This Agreement can be executed electronically and will be binding.

20. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
